Terms of Service

Welcome to FlexMeal. These Terms of Service ("Terms") govern your use of the FlexMeal mobile application (the "App") operated by Ngo. By using the App, you agree to these Terms.
1. About FlexMeal
FlexMeal is a marketplace that connects home chefs ("Chefs") with customers ("Customers") seeking freshly prepared meals for pickup. We facilitate the connection and payment process but are not a party to the transaction between Chefs and Customers.
2. Accounts
- You must provide accurate information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You may register as a Customer, a Chef, or both.
- You must be at least 18 years old to create an account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. For Customers
- You may browse available meals and place orders through the App.
- By placing an order, you agree to pay the listed price plus any applicable fees.
- You are responsible for picking up your order at the designated time and location.
- Cancellation and refund policies are described in Section 7 below.
4. For Chefs
- You are responsible for the safety, quality, and accuracy of the meals you list.
- You must comply with all applicable local food safety laws and regulations.
- You must complete Stripe Connect onboarding to receive payouts.
- You must accurately describe your meals, including ingredients and portion sizes.
- You are responsible for fulfilling accepted orders in a timely manner.
- FlexMeal retains a 3% platform fee on each transaction. The remaining 97% is transferred to your Stripe Connect account.
5. Payments
- All payments are processed securely through Stripe.
- Payment is authorized at checkout and captured when the chef accepts the order.
- We do not store your full payment card details.
- Chef payouts are handled through Stripe Connect and are subject to Stripe's payout schedule.
6. Messaging
- The in-app messaging feature is for communication related to meals and orders.
- You may not use messaging for spam, harassment, or solicitation outside the platform.
- We reserve the right to monitor messages for safety and compliance purposes.
7. Cancellations and Refunds
- If a Chef cancels an order, the Customer's payment authorization is released (no charge).
- If a Customer needs to cancel, they should contact the Chef through in-app messaging as soon as possible.

8. Prohibited Conduct
You agree not to:
- Use the App for any unlawful purpose
- Post false, misleading, or fraudulent meal listings
- Harass, abuse, or threaten other users
- Attempt to circumvent the payment system
- Upload harmful, offensive, or inappropriate content
- Reverse engineer or attempt to extract the source code of the App
- Create multiple accounts to abuse promotions or evade restrictions
9. Content
You retain ownership of content you post (meal photos, descriptions, messages). By posting content, you grant us a non-exclusive, royalty-free license to display it within the App as necessary to operate the service.
10. Disclaimer of Warranties
The App is provided "as is" without warranties of any kind. We do not guarantee the quality, safety, or legality of meals listed by Chefs. We do not guarantee continuous, uninterrupted access to the App.
11. Limitation of Liability
To the fullest extent permitted by law, Ngo shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App. Our total liability shall not exceed the amount you paid through the App in the 12 months preceding the claim.
We are not responsible for any illness, injury, or damages resulting from meals prepared by Chefs. Chefs are independent operators and are solely responsible for their food preparation practices.
12. Indemnification
You agree to indemnify and hold harmless Ngo from any claims, damages, or expenses arising from your use of the App, your violation of these Terms, or your violation of any rights of another user.
13. Modifications
We may update these Terms from time to time. We will notify you of material changes through the App or by email. Continued use of the App after changes constitutes acceptance of the updated Terms.
14. Termination
You may stop using the App and delete your account at any time. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion, with or without notice.
15. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions.
